俺读了一晚上BYLAW（旧版），突然灵光了一个方案。呵呵既遵循BYLAW框架又满足各党派要求，比离婚更积极可行。
１，首先董方（ZHU等）暂停新校章，全部外甥打灯笼...一切照旧。
２，校长家委会长董事董事长集体辞职，本学期结束生效。
３，就着董事会现在招聘的程序，所有会员都有候选人资格。
４，公布所有候选名单，候选人全校发表竞选演讲， 回答会员问题。
５，董事会不作任何筛选，全部交由会员民主选举投票产生新政府。
６，新老政权和平过渡。
这需要各方反复协商和博大胸襟，但比上法庭好过几条街。总之俺先抛块玉，大家尽管拍砖。

That's exactly right. If everything is under the old bylaws, you cannot have 3-5. If the current board start the election of just next year principal and PTA, it should work too, but for the reason to prevent Hu and Liu from joining next year's board they're stuck with election of the entire board. In reality, if Hu and Liu want to go into the board and campaign for it, I'm sure they'll get in. I don't blame them to want to stay out of the school politics where most parents don't give a crap about the school one way or another.
DeleteI disagree that settlement will be better than litigation. First of all the four board members don't recognize what they did wrong and have refused any meaningful negotiation. Then you have people in the BAC who have no skin in the litigation but every reason to let the new bylaws pass, especially BAC chairman, inject themselves into the negotiation and make settlement impossible. Finally after all these four board members did, it's time to teach them and Li Jianren a lesson that the laws are there for a reason. To make new laws, you have to follow the old ones first. No matter who you are, you have to take responsilibites for your own actions and no one is above the law. So if Zhu Li did anything fraudulently, he should go to jail. No question about that.
As for the school, once illegal acitivies are out of the way, there're lots of ways to resolve the logistics. Let's just wait and watch a wonderful show first. The best part has yet to start.

DeleteI don't want anybody goes to jail and I don't think this law suit will send anybody to jail unless Zhu Li does something really stupid in court. But I do think it's a lesson for all of us to learn that law needs to be followed, unlike what Li Jianren claimed in public that volunteers could do whatever them wanted according to their "良心”. People do things according to their own free will and by their own choice. But when what they did infringe on other people's right or the laws, they have to live with the consequences.

It is hypocritical to say this now when you condoned, even supported, the repeated and numerous violations of the (old) HXNY Bylaws and NY states laws by the 5 Board members led by Gary GUO and Shengjing LI last school year.
And where were you when HU was illegally elected and then staged the education "referendum" show against the (old) HXNY Bylaws?
These acts are irrefutable facts that GUO/LI/HU are reckless, ruthless and heartless opportunists. It was these reckless opportunists that caused the chaos last school year and continue to push the school to the brink of another disaster.
If they do take school volunteers to court again, they will surely be widely condemned by HXNY parents.

Delete不一致的在于，旧校章没有选董事的规矩 （现任校长,家长会长自动进入董事会）. 新校章有选董事的LV规矩,每位成员选9位董事中的5位。得票最多的9位当选下届董事会。

Take out LV, I would vote YES on the new Bylaws. There are other items that I don't like in the new Bylaws draft, but I trust that a freely elected Board would be able to make things right and I would not quarrel any decision made by a majority elected Board.
DeleteLV is a complicated concept. Many people did not, some still do not, know how it works. They, therefore, did not like it.
ReplyDeleteBAC did make compromise, increasing Board vote from 1 to 5 in the first election. There were diehard proponents of LV. It stayed in the final version of the Bylaw.
If that is only issue preventing the new Bylaw from being more widely accepted, it is very unfortunate.
That's a very elitist point of view, or rather, a factionist point of view dressed up as elitist. The "elites" who stuffed LV into Bylaws draft refused to accept the judgement by ordinary parents. That's why they had to resort to illegal method in order to push through their plan. That's not how democracy supposed to work.

If you read Li Yongxin's arguments for LV (later those arguments were put in a BAC document by Li Jianren), you would understand those people are beyond convincing. LV was what they wanted and they are willing to use any flimsy reason to keep it in. Come hell and high water, they would push it through.

5）80％HXNY家长抵制“选举。”
6）“选举”是在五董用可疑文件欺骗法院命令的恐怖下举行。

1）合法的家长会会长在 “选举”之前，“选举”期间和“选举”后，均宣布：由五董操纵的“选举”是非法的，结果无效。
2）多数HXNY的家长不承认“选举”的结果。
总之，胡/刘说到天边去都是非法的。

问：5月6日《董事会决议》是如何出台的？董事会伪造了投票结果吗？
答：董事会没有伪造投票结果。董事会公布的投票结果反映了真实情况与大多数家长的愿望，完全合法有效。
5月6日的董事会会议通知在5月1日就已经发给全体董事和学校主要领导。5月6日出席董事会会议的董事包括了贺力大，李盛京，周菁，郑顾团和朱立五位董事。根据校章，参会董事五位，已符合quorum要求，董事会会议及其决议有效。
5月6日的董事会会议按通知10点钟左右开始。李盛京和周菁二位董事稍迟了几分钟来到，然而在听到要讨论Bylaws后，他们就离去了，放弃参加投票，所以，他们的投票结果登记为“弃权”。开会之前，董事会主席专程找到雷明辉董事，提醒他务必要来参加会议。遗憾的是，雷明辉董事始终没有出现，也没有说明理由，所以董事会将他的投票结果登记为“缺席”。黄莺董事因故请假，通过Proxy投票。因此5月7日公布的董事会投票结果，完全符合校章，并且合法有效。
实际上，这星期董事会还要召开一次董事会会议，通知已经发给全体董事，希望所有董事履行家长们赋予他们的职责，在学校的关键时刻，积极协助学校解决问题，制止混乱。
问：有人说要把你们告上法庭。你们怕卷入官司吗？
答：自去年5月以来，学校纠纷一直没有停息，而且有越发升级令人担忧的趋势，为了孩子们，为了学校，超过2/3的家长在最近校章投票中，表达了全部直选董事会、校长和家长会会长，结束混乱，重振华夏的愿望。我们四位董事所作所为都是为了承担家长赋予我们的神圣责任，帮助实现广大家长的愿望。
我们无数次的竭尽全力提倡通过校内协商解决问题，化解危机。我们反对将公益学校的志愿者告上法庭，这样非常伤害现在和将来志愿者的积极性，也浪费学校宝贵的资源。然而如果有任何人对学校志愿人员进行讼诉，我们也不惧怕官司。我们为学校，为孩子们做事，问心无愧。
另外，无论新校章还是旧校章，都规定了学校的志愿者一旦被告，学校有责任出资在法律上保护学校的志愿者（请参见新校章第12条, 旧校章第13条规定），我们不希望走到那地步。
问：你们对学校的前景怎么看？
答： 我们对学校的前景是乐观的，新校章的通过给我们带来了重新开始的难得机会。中文学校是全体家长的学校，人心思定。我们也认为董事会、校长和家长会会长全部重新直选是结束当前学校混乱的唯一方法。

作为中立家长， 俺不管你们董事７个人玩的多数少数游戏。
Delete俺更想知道那２５９票支持新校章的来源。
先不论投票程序是否合法，如果真有这么多现任会员支持，胡校长绝对应该听听群众的呼声。
但SVC不说明或者不能说明这些支持票的来源，那么不能让人信服你们代表了大多数家长，那么你们硬推行新校章就违反大多数家长的意愿。
麻烦董事会把这个问题放问答中一并回答一下。
至少180人反对实行新校章。不说259票有没有造假，即使都是真的，也没超过2/3。董事会如果号称是为全体家长服务的，就不该无视180反对票。

Dear HXNY Members,
The HXNY Board of Directors held a meeting in AAB 104 on 5/6/2012 and discussed the voting results of the amended Bylaws and the upcoming school election (see the Board minutes below).
The HXNY Bylaws Special Voting Committee has completed ballot counting for the voting on the amended HXNY Bylaws. The results are:
YES votes: 259
NO votes: 97
The percentage of YES votes is 73% which exceeds 2/3 of valid votes. Pursuant to Article 5.03.3 of the current HXNY Bylaws, the Board hereby declares that the amended HXNY Bylaws takes effect immediately (新校章已由超过2/3家长投票通过).
We are attaching a copy of the amended HXNY Bylaws (the new Bylaws) for your reference.
We would like to express our sincere thanks to the Bylaws Amendment Committee for their dedication, professionalism, and selfless work in the past eight months. We also thank the school administration, PC and all HXNY members for their contributions to the Bylaws amendment.
HXNY members have spoken. They demanded the school to move forward with a new beginning by having an open, fair and truly contested election of the entire HXNY leadership! We urge the current school administration and PC to respect the collective will of the HXNY members. We also urge all HXNY members to unite under the new Bylaws, to seek common ground, and to bring peace and normalcy back to our beloved school.
We recognize that a significant portion of HXNY members expressed reservations about the amended HXNY Bylaws. We respect their choices. We will do our best to earn their trust and support.

发通知开董事会有没有预先告知agenda？如果没有预先通知所有董事agenda，合法吗？
Delete看来预先黄英知道agenda？不然怎么能用proxy投票？而李，周，雷3董看来不知道agenda。有选择地通知董事会agenda，搞突然袭击，合法吗？
况且还有其它人在场，可以证明根本没讨论,也没投票。

如何做：

家长们在选下届领导时，应该向候选人提问，比如他们对新校章的看法等等，相信家长们能选出代表家长意愿的下届领导。

让人想起大Z有一次公开在会上对反对新校章的回应：今年的校章就这样了，明年我们再改。
问题关键：259张赞成票是如何来的呢？

DeleteSVC的通知不是说得清清楚楚，259张赞成票是通过投票 （4/15现场票 + 到4/29 邮寄票），4/29记票现场有多位家长（包括校委会，家长会的代表）监督。
Delete校委会的教改公投也通过现场票 + 邮寄票收到300张赞成票.
制造动乱的是朱立等四人帮董事。用搞SVC的办法干扰对校章的投票。至今SVC不敢说，4/15当天收到多少票？4/15以后收到多少邮寄票？
DeleteSVC的票箱放在朱立家两星期。有人相信朱立不作弊吗？校章的合法性能建立在对朱立的诚实和人格的信任基础上吗？任何法律文件的效力能建立在某个人的诚信基础上吗？

DeleteIf 黄董事 really told you the truth, you would know that HU/LIU's candidacy has nothing to do with 5 board members. There was another candidate, but 黄董事 called this person and persuaded this person to withdraw. HU handed his candidacy the last minute when learned this person withdrew. 5 board members didn't know that before hand. Also 5 board members called for extra candidates, only HU/LIU handed in their candidacy. It is time to get the truth out!
Last year what the 5 board members did at least was within the bound of the Bylaws. The same can not be said for what the 4 board members did this year for the 4/15 Bylaws vote.
DeleteNot a single person so far is against direct election of the Board. The shenanigans in forming the BAC led directly to Limited Voting and led to the defeat of the new Bylaws draft. In contrary to someone said that LV was rejected because it's too complex for ordinary parents to understand, it would take a minute for any unbiased parent to understand why LV was put into the new Bylaws draft and why after 3 months failing to convince people (amazingly without a single meeting for
people to sit together and debate), LV was still in there. If we had Simple Majority Rule, the new Bylaws draft would have been passed long time ago.
If you turn a blind eye on all the illegal acts the 5 board members did last year against HXNY Bylaws and the NY state laws, there is no basis for any further meaningful discussion.

ReplyDelete三个董事开会30分钟，就能伪造一个五个董事开2个小时会六个董事投票的假决议来欺骗会员家长，这更是闻所未闻的丑陋行径。
你们就这么守法吗? 有没有校章，对你们这些人来讲，有差别吗?
